Welcome to AlviPsych. These Terms of Use (“Terms”) govern your access to and use of the AlviPsych website, platform, applications, communications, scheduling tools, digital intake tools, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

For purposes of these Terms, “AlviPsych,” “Company,” “we,” “us,” and “our” refer to AlviPsych and its affiliated non-clinical entities that own, operate, license, manage, or support the Platform.

1. Nature of the Platform

AlviPsych is a healthcare technology, coordination, and administrative platform that facilitates scheduling, secure telehealth communication, intake collection, payment processing, and digital coordination for consumer-directed, patient-initiated, limited-scope psychiatric evaluations and related administrative readiness services.

AlviPsych does not itself practice medicine, psychology, counseling, nursing, or other licensed healing arts, and does not itself provide medical or mental health diagnosis, treatment, or professional clinical judgment through the Platform.

Clinical services made available through the Platform are rendered by independent licensed clinicians or affiliated professional entities (collectively, “Clinicians”), who exercise sole and independent professional judgment.

2. Consumer-Directed Services

The services offered through the Platform are intended to be consumer-directed, patient-initiated, limited-scope services requested for a specific referral, procedural, occupational, administrative, educational, or programmatic purpose.

By using the Platform, you acknowledge that you are voluntarily electing to seek and purchase a limited-scope service for your own convenience and for a specific purpose, rather than enrolling in a comprehensive, ongoing psychiatric treatment program through the Platform.

Your use of the Platform is a voluntary consumer choice. You may seek similar or related services through other providers, facilities, health systems, or insurance-based channels.

3. No Medical Advice from the Platform

Content on the Platform, including text, forms, educational materials, descriptions of services, FAQs, communications, and customer support, is provided for general informational and administrative purposes only. It is not medical advice, diagnosis, or treatment and should not be relied upon as a substitute for consultation with a qualified licensed professional.

No information on the Platform should be interpreted as a recommendation that you undergo or not undergo any surgery, procedure, or treatment.

4. Independent Clinicians

Any Clinician made available through the Platform is an independent licensed professional or is engaged through an affiliated professional entity. No Clinician is, solely by virtue of using the Platform, an employee, agent, partner, or representative of AlviPsych for purposes of clinical decision-making.

All clinical opinions, findings, diagnoses, recommendations, and conclusions—including whether a patient is appropriate, conditionally appropriate, deferred, or not recommended for surgery or another procedure—are made solely by the Clinician in the exercise of independent professional judgment and subject to applicable law and licensing standards.

AlviPsych does not control, direct, or override the independent professional judgment of any Clinician.

5. Scope of Services

Services facilitated through the Platform may include limited-scope, referral-focused psychiatric evaluations intended to address a specific procedural, surgical, occupational, administrative, or programmatic readiness question.

Such services may include review of patient-provided information, psychiatric history-taking, record review, assessment of current symptoms, treatment stability, substance-related history, psychosocial supports, decisional capacity where relevant, behavioral risk factors, and factors that may affect perioperative or postoperative adherence.

Unless separately agreed in writing by the treating Clinician, use of the Platform does not establish ongoing psychiatric treatment, medication management, emergency coverage, crisis services, chronic disease management, or longitudinal mental health care.

6. No Guarantee of Outcome

Use of the Platform does not guarantee:

  • scheduling availability,
  • eligibility for services,
  • a favorable report,
  • psychiatric clearance,
  • surgical or procedural approval,
  • insurance reimbursement,
  • employer acceptance,
  • licensing acceptance,
  • or any particular clinical, administrative, or legal outcome.

Final procedural, surgical, occupational, employer, program, or facility decisions remain solely with the applicable surgeon, facility, employer, program, agency, or other decision-maker.

7. Eligibility to Use the Platform

By using the Platform, you represent and warrant that:

  • you are at least 18 years old, or are using the Platform through a legally authorized parent or guardian;
  • all information you submit is true, accurate, current, and complete;
  • you are legally permitted to use the Platform;
  • you will use the Platform only for lawful purposes;
  • you are physically located in a jurisdiction in which the assigned Clinician is authorized to provide services at the time of the encounter, if applicable.

We reserve the right to deny access, decline scheduling, suspend accounts, cancel appointments, or terminate access to the Platform at any time if we believe you are ineligible, have provided false information, or have violated these Terms.

8. Identity Verification

You agree to provide accurate identifying information and, where requested, a valid government-issued photo ID. Failure to verify identity, age, location, or other requested information may result in cancellation, termination of access, forfeiture of fees as permitted by applicable policy, or refusal of services.

9. Telehealth and Technology Risks

If you use telehealth or digital communication tools through the Platform, you acknowledge and accept risks including:

  • technical failures,
  • internet interruptions,
  • software malfunctions,
  • privacy or security risks inherent in electronic communications,
  • delays in transmission,
  • and the possibility that remote assessment may be less comprehensive than in-person assessment in some circumstances.

You are responsible for maintaining a secure internet connection, a functioning device, and a private location suitable for telehealth.

10. Not for Emergencies

The Platform is not intended for emergency use. AlviPsych and Clinicians do not provide emergency services through the Platform.

If you are experiencing suicidal thoughts, homicidal thoughts, psychiatric crisis, chest pain, severe medication reaction, or any other medical or psychiatric emergency, call 911, go to the nearest emergency room, or call/text 988 immediately.

11. Fees and Payment

Certain services offered through the Platform require payment of a one-time or other stated fee. By submitting payment, you agree to pay all applicable fees, charges, and taxes associated with the service you select.

Unless otherwise stated, fees may include:

  • a Professional Fee for clinical services rendered by a Clinician or affiliated professional entity; and
  • a Platform / Administrative Fee for AlviPsych’s technology, scheduling, intake, communications, coordination, document handling, and other non-clinical support services.

All payment obligations are due at the time stated on the Platform or during checkout.

12. Cash-Pay / Consumer Election

By choosing to use the Platform and purchasing a service, you are expressly electing to obtain a consumer-directed, patient-initiated, cash-pay service outside of an in-network or routine insurance-billed pathway, unless AlviPsych expressly states otherwise in writing.

You acknowledge that you are solely financially responsible for the full cost of services and related products obtained through the Platform.

13. Insurance and Reimbursement Disclaimer

AlviPsych is not representing that services made available through the Platform are covered benefits under any commercial insurance, HMO, PPO, Medicare, Medicaid, TRICARE, or other federal or state health care program.

We make no representation, warranty, or guarantee that any payer will recognize, reimburse, credit, or otherwise treat any service obtained through the Platform as a covered benefit. You agree not to rely on any expectation of reimbursement when using the Platform.

AlviPsych is out of network with commercial insurance plans unless expressly stated otherwise.

14. Government Program Disclosure

Services made available through the Platform are structured and offered as consumer-directed cash-pay services and are not offered as in-network, assigned-benefit, or routine government-program-billed services.

You agree to provide accurate and complete information regarding your enrollment in or eligibility for Medicare, Medicaid, TRICARE, dual eligibility, Veterans benefits, or any other federal or state health care program.

AlviPsych reserves the right to require additional screening, additional documentation, separate contracts, reassignment to a different Clinician, rescheduling, cancellation, or refusal of services if your coverage status, the assigned Clinician’s status, or the nature of the requested service creates legal, billing, or compliance restrictions.

Nothing in these Terms obligates AlviPsych, any affiliated entity, or any Clinician to submit a claim for reimbursement to any commercial insurer or federal or state health care program, except where required by applicable law.

15. Appointments, Cancellations, and No-Shows

Appointment availability is not guaranteed. We reserve the right to cancel, reschedule, or refuse appointments for operational, clinical, licensing, compliance, payment, or safety reasons.

If you are late, fail to appear, fail to complete required forms, fail identity verification, fail to provide required records, or appear from an improper jurisdiction, your appointment may be canceled and fees may be forfeited subject to the applicable payment and cancellation policy communicated to you at the time of booking.

16. Reports and Deliverables

If applicable, a report, letter, or other written output may be generated at the discretion of the treating Clinician. Delivery timelines are estimates only unless otherwise stated in writing.

Reports may be delayed by missing information, need for collateral records, clinical complexity, quality review, legal or compliance review, or payment issues.

Any report is limited to the referral purpose for which it was prepared and may not be suitable for any other use.

17. Authorization to Release Information

By using the Platform and requesting services, you authorize AlviPsych and the Clinician, as applicable, to transmit forms, records, reports, and related communications to you and to your designated surgeon, surgical facility, employer, coordinator, or other authorized recipient, consistent with your instructions and applicable law.

You acknowledge and accept the risks of electronic transmission, including by portal, fax, SMS where appropriate, and email, including unencrypted email when requested by you or operationally necessary.

18. User Responsibilities

You agree:

  • to provide truthful, complete, and current information;
  • not to impersonate another person;
  • not to use the Platform for unlawful, fraudulent, abusive, harassing, or deceptive purposes;
  • not to interfere with or disrupt Platform operations;
  • not to attempt unauthorized access to accounts, systems, or data;
  • not to upload malware, malicious code, or harmful content;
  • not to reproduce, scrape, copy, or commercially exploit the Platform without written permission.

19. Privacy and Incorporated Documents

Your use of the Platform is also subject to our Privacy Policy, Telehealth / Clinical Consent, Financial Policy / Cash-Pay Disclosure, and Notice of Privacy Practices, each of which is incorporated into these Terms by reference and forms part of the agreement between you and AlviPsych.

By using the Platform, scheduling an appointment, submitting intake materials, or purchasing services, you acknowledge that you have reviewed and agree to be bound by those documents to the extent applicable.

In the event of a conflict:

  • the Telehealth / Clinical Consent will govern issues relating to telehealth disclosures, clinical scope, and patient consent to evaluation;
  • the Financial Policy / Cash-Pay Disclosure will govern issues relating to fees, payment obligations, refunds, cancellations, and reimbursement disclaimers;
  • the Notice of Privacy Practices will govern permitted uses and disclosures of protected health information as required by law;
  • and these Terms of Use will govern general use of the Platform, website, and non-clinical services, except to the extent another incorporated document more specifically applies.

You acknowledge that electronic communications and data transmissions can never be entirely secure and that we cannot guarantee absolute security.

20. Telehealth / Clinical Consent

Certain services offered through the Platform require your execution and acceptance of a separate Telehealth / Clinical Consent. That document governs, among other things:

  • consent to telehealth encounters,
  • limitations and risks of telehealth,
  • identity and location verification,
  • the limited scope of evaluations,
  • emergency disclaimers,
  • clinical independence of the treating Clinician,
  • and the absence of any guarantee of clearance, approval, treatment outcome, or surgical result.

By requesting or receiving clinical services through the Platform, you agree that such services are subject to the Telehealth / Clinical Consent then in effect.

If you do not agree to the Telehealth / Clinical Consent, you may not receive clinical services through the Platform.

21. Financial Policy / Cash-Pay Disclosure

All services obtained through the Platform are subject to the separate Financial Policy / Cash-Pay Disclosure, which is incorporated into these Terms by reference.

That policy governs, among other things:

  • one-time or other stated fees,
  • allocation between professional and administrative/platform charges where applicable,
  • cash-pay election,
  • out-of-network status,
  • lack of guarantee of reimbursement,
  • cancellation, no-show, and refund rules,
  • and special screening or workflow requirements for Medicare, Medicaid, TRICARE, or other federal or state health care program beneficiaries.

By booking, purchasing, or receiving services through the Platform, you agree to the Financial Policy / Cash-Pay Disclosure then in effect.

22. Notice of Privacy Practices

AlviPsych and/or the affiliated professional entities through which clinical services may be rendered maintain a Notice of Privacy Practices describing how protected health information may be used and disclosed and how you may access your information.

By using the Platform, you acknowledge receipt or availability of the Notice of Privacy Practices to the extent required by law. Nothing in these Terms is intended to limit rights you may have under HIPAA or other applicable privacy laws.

Where required by applicable law, the Notice of Privacy Practices governs uses and disclosures of protected health information.

23. Intellectual Property

All content, text, graphics, logos, designs, software, workflows, forms, compilation, arrangement, and other materials on the Platform are owned by or licensed to AlviPsych and are protected by copyright, trademark, trade secret, and other applicable laws.

You may use the Platform only for your personal, non-commercial use in connection with obtaining information about or accessing services through the Platform. You may not copy, distribute, modify, reverse engineer, create derivative works from, or exploit Platform content except as expressly authorized in writing.

24. Third-Party Services

The Platform may rely on or link to third-party services, including telehealth vendors, payment processors, email or messaging tools, cloud storage, laboratories, pharmacies, or other vendors. AlviPsych is not responsible for the acts, omissions, content, availability, or policies of third-party services except as required by law.

25. Disclaimer of Warranties

To the maximum extent permitted by law, the Platform and all content and services made available through it are provided on an “as is” and “as available” basis. AlviPsych disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and uninterrupted access.

We do not warrant that the Platform will be error-free, uninterrupted, secure, or free of viruses or other harmful components.

26. Limitation of Liability

To the maximum extent permitted by law, AlviPsych shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to:

  • your use of or inability to use the Platform,
  • delays, interruptions, or technical failures,
  • unauthorized access to or alteration of your transmissions or data,
  • reliance on reports by third parties,
  • denial, cancellation, postponement, or approval of surgery or other procedures,
  • or insurance, reimbursement, employer, licensing, or administrative outcomes.

To the extent permitted by law, any direct liability of AlviPsych shall be limited to the amount actually paid by you to AlviPsych for the specific non-clinical Platform service giving rise to the claim.

27. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless AlviPsych, its owners, officers, directors, managers, affiliates, contractors, workforce members, licensors, and vendors from and against any claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from:

  • your violation of these Terms,
  • false or incomplete information provided by you,
  • misuse of any evaluation, report, or document,
  • unauthorized disclosure or forwarding of a report by you,
  • your violation of law,
  • or decisions made by third parties based on information you requested be released.

This provision does not apply to the extent prohibited by law or to claims arising solely from non-waivable legal duties.

28. Suspension and Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these Terms, provided false information, created safety or compliance concerns, failed to satisfy payment obligations, or otherwise engaged in conduct we deem inappropriate or unlawful.

29. Changes to the Platform or Terms

We reserve the right to modify or discontinue any aspect of the Platform, including services, pricing, availability, features, workflows, provider assignments, screening processes, and eligibility requirements, at any time.

We may revise these Terms from time to time. Updated Terms will be posted on the Platform with a revised effective date. Your continued use of the Platform after revised Terms are posted constitutes acceptance of the revised Terms.

30. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law rules, except to the extent superseded by applicable federal law.

Any dispute arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Bexar County, Texas, unless applicable law requires otherwise, and you consent to personal jurisdiction and venue in those courts.

31. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

32. Entire Agreement

These Terms, together with any applicable consent forms, Telehealth / Clinical Consent, Financial Policy / Cash-Pay Disclosure, Privacy Policy, Notice of Privacy Practices, and any additional agreements expressly incorporated by reference, constitute the entire agreement between you and AlviPsych regarding your use of the Platform.
